Terminology

Sproose: “The Sproose Platform”, “Sproose” “we” or “us” provided to you by Sproose Innovation Limited, Unit 23, Guinness Enterprise Centre, Taylor’s Lane, Dublin 8

 

The Service Provider: Merchant, business or trader who carries out the services booked on The Sproose Platform.

 

Building Manager: Designated point of contact at a company or building who is responsible for liaising with Sproose for the purpose of making services available onsite via The Sproose Platform.

 

The Sproose Platform: The platform consists of web and mobile applications developed by Sproose. Specifically, the platform components are: https://sproose.io (The Sproose website) https://app.sproose.io (The Sproose web application / The Sproose web app), https://sp.sproose.io (Service Provider Portal), the Sproose Connect mobile app for iOS and the Sproose Connect mobile app for Android.

 

Agreement
This document (“Agreement”) is a contract between You (the user of the Sproose) and Sproose Innovation Ltd. registered in Ireland with company number 562179”.

The following are the terms and conditions for The Sproose Platform. By using any of our applications you accept these terms and conditions and agree to be bound by them. We may update this Agreement from time to time and any changes are effective immediately on posting the modified Agreement on our website: https://sproose.io. We will do our best to notify you of any changes to these terms via email.
By using Sproose, you are agreeing to these Terms & Conditions AND our Privacy Policy. Please read them both carefully. If you do not accept these terms and conditions in full, please do not use any of The Sproose Platform applications.

 

Activity
We have built The Sproose Platform for companies and building managers that allows employees and residents to access company or onsite services. Sproose also allows users to book events and interact directly with third party suppliers of products and services.
In order to access the content on The Sproose Platform you must first create an account. You may not use another member’s registration. When registering you must always provide accurate information and keep this information accurate while you have an account with us. You are solely responsible for any activity, including purchases, that occurs under your registration. If you suspect any unauthorised use of your account, you must change your password and notify us immediately by contacting compliance@sproose.ie.

 

You must be over 18 to register and use The Sproose Platform.

 

Using The Sproose Platform
Sproose may change any component of The Sproose Platform at any time, does not guarantee that all features of the The Sproose Platform will be retained over time. We may also close any component of The Sproose Platform at any time. We may terminate your account or restrict your access if it at any time, but we will try to only do this if we deem that there has been a breach of Agreement by You.
The purpose of our The Sproose Platform is to provide a simple and convenient method of discovery and payment of company / building services. The goods and services promoted through The Sproose Platform are provided by third party service providers. Sproose does not sell OR guarantee these goods and/or services. We have no inventory, no stock, no machinery and no vehicles. We pass your order for any goods and/or services to the provider of those goods and/or services (the “Service Provider”). Such order is subject to the terms and conditions of this Agreement, and any specific terms and conditions specified by The Service Provider. The price of the goods and/or services is determined by The Service Provider and will be as specified on the Sproose Platform at the time that you place your order. Any additional surcharges or charges for delivery which will be made known to you directly from by the Service Provider.

 

Orders Payment & Refunds
When you place an order on The Sproose Platform the contract of sale is with your chosen Service Provider. The service provider(s) for you building might be pre-selected by your building manager and you may not have the option to change this service provider.


The Service Provider may occasionally be unable to fulfill your order, for example if a product you have ordered is not available or if the Service Provider experiences unexpected / unforeseen operational / logistical issues when attempting to deliver goods or services. Where this happens, Sproose will provide a full refund of any payment received. Where the Service provider has received payment for the goods and/or services and is subsequently required to pay a full refund, the Service provider shall transfer the full refund to you (via Stripe Payments UK Limited, “Stripe”). All our payment services shall be carried out by Stripe.


The prices of goods and/or services and other charges are shown in your country currency and include VAT. Prices may change and are current at the time of display. The contract of sale between you and the Service Provider will take effect when The Service Provider (via Stripe Payments UK Limited, “Stripe”) is deemed to have received full payment from you.


Your order will be delivered by The Service Provider to you in the manner specified on The Sproose Platform. Please note that Sproose are not responsible for the delivery of goods and services. Delivery is the responsibility of the The Service Provider and is subject to The Service Provider ‘s terms and conditions. Some goods and/or services may only be available for delivery or consumption during certain periods or within certain time limits. You are responsible for collection of any goods or services where relevant, including collecting them within any recommended or reasonable time limits. The Service Provider, not Sproose, is the seller and supplier of the goods or services you have ordered and is solely responsible for delivery of any orders you place.

 

Complaints
Sproose aims to provide you with a convenient method of discovering and purchasing goods and/or services. We rely on our Service Providers to supply these goods and services to you. If you have any complaints about the goods and/or services ordered through The Sproose Platform, please notify both The Service Provider and Sproose as soon as possible. While Sproose is not liable for any claims you may have against The Service Provider, we will use reasonable endeavors to resolve disputes with The Service Provider. In addition, please note that disputes may be submitted for online resolution to the European Commission Online Dispute Resolution platform.

 

Disclaimer
We will do our utmost to provide The Sproose Platform and any related services with reasonable care and best effort. However, we cannot guarantee that the functionality of The Sproose Platform will be uninterrupted or error free, and we do not guarantee that The Sproose Platform will be secure or free from bugs or viruses.
You agree and acknowledge that neither Sproose nor The Building Manager are the seller or supplier of the goods and/or services that are offered through The Sproose Platform. All goods and services offered through The Sproose Platform are sold and supplied by the Service provider.


We use its best endeavors to monitor orders and ensure they are provided accurately and successfully to Service Providers, provide a high-quality user experience, and select reputable, consistent and high quality Service Providers. However, as all goods and services which you purchase through The Sproose Platform are supplied by Service Providers and not by us, we cannot guarantee or assume responsibility for any such goods and/or services. The goods and services which you purchase are sold by The Service Provider and are subject to The Service Provider terms and conditions of sale.
It shall be your responsibility to make all necessary inquiries and take any action you consider necessary if you require insurance or require The Service Provider to be insured or to have insurance coverage that covers you in respect of the provision of their goods and/or services, prior to proceeding with any booking or services.

 

Liability and Indemnity
Sproose accepts no liability (including for loss or damage, whether direct or indirect) for any act, omission or default, whether negligent or otherwise of any Service Provider.

 

If you are a business user or Service Provider:
We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the use of, or inability to use, The Sproose Platform; or use of or reliance on any content displayed on our The Sproose Platform.

 

We will not be liable for: loss of profits, sales, business, or revenue, business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

 

If you are a consumer user:
We have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

 

Data & Content
Information about goods and/or services promoted on the The Sproose Platform, is based on material provided to Sproose by the The Services Provider(s) and Sproose does not independently check the accuracy of the information supplied.
You understand and agree that except to the extent required by law, Sproose does not accept liability in respect of errors or omissions caused by incorrect or inadequate information provided by our Service Providers. You should make your own inquiries to verify information provided about the goods and/or services promoted on The Sproose Platform and to assess the suitability of these goods and/or services before you purchase through The Sproose Platform.
Sproose reserves the right, in its absolute discretion, to pre-screen, refuse or remove any Content from The Sproose Platform without giving any reasons.

 

Misc.
If any part of this Agreement is invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then it shall be severed, and the remaining parts shall survive and remain in full force and effect and continue to be binding and enforceable.


If we merge, sell or otherwise change control of our business or The Sproose Platform to a third party, we may, without giving notice or seeking any additional consent from you, transfer or assign information (including personal information) and /or content that we have collected from you and any agreements we have made with you in connection with The Sproose Platform.
